Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“you,” “member”) and DoughPass (“DoughPass,” “we,” “us”). By creating an account, purchasing a membership, or using the DoughPass service (the “Service”), you agree to these Terms. If you do not agree, do not use the Service.

Please read Section 15 carefully. It contains an arbitration agreement and a class-action waiver that affect your legal rights.

1. About DoughPass

DoughPass is a paid discount-membership program based in New York, New York. DoughPass entitles active members to a recurring pizza discount at participating restaurants. DoughPass is not a restaurant and does not sell, prepare, or serve food. Food is sold by the participating restaurants, which are independent businesses.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to become a member. You agree to provide accurate account and payment information — including your legal name, which must match your photo ID — and to keep it current. You are responsible for all activity under your account.

3. What the membership is (and is not)

Your membership is a license to receive a discount on certain menu items at participating restaurants, subject to these Terms. It is not a prepayment for food, a meal plan, a gift card, stored value, or a guarantee of food availability. The membership confers no ownership interest and has no cash value (see Section 11).

4. Membership benefit & limits

  • The benefit: while your membership is active, you may redeem one (1) standard medium cheese pizza per calendar day at a participating restaurant, applied as a discount at the point of sale. The specific covered item, size, and discount value are as described at sign-up and may be updated under Section 7.
  • Size substitution: the standard covered item is a medium cheese pizza. If a participating restaurant does not offer a medium pizza, the covered item is automatically a small cheese pizza at that location instead. The covered size at any given restaurant is set by that restaurant’s menu, and the discount applies to that location’s covered item only.
  • Daily limit: redemptions are limited to one (1) per member per calendar day. Unused days do not roll over and have no value.
  • Extras are not included: toppings, larger sizes, specialty pizzas, sides, drinks, delivery, taxes, tips, and any item other than the covered pizza are not included and are charged at the restaurant’s regular prices.
  • Personal use only: the benefit is for your personal use, is non-transferable, and may not be resold, shared, or combined with other offers unless we expressly allow it.
  • Identity at redemption: redemption requires presenting your then-valid DoughPass credential (your in-app code/QR) together with a valid photo ID matching your account name. We may refuse a redemption that cannot be verified, and may capture an image of the ID to confirm the match.

5. Fees, billing & auto-renewal

Automatic renewal — please read.

  • Membership fee: the recurring fee disclosed to you at sign-up (currently $60 per month), plus any applicable taxes on the membership where required.
  • Authorization: by subscribing, you authorize us and our third-party payment processor to charge your payment method the membership fee on a recurring basis until you cancel.
  • Auto-renewal: your membership automatically renews each billing period (monthly, unless otherwise stated) at the then-current price, and your payment method will be charged automatically, until you cancel.
  • Renewal reminders: where required by law, we will send renewal and price-change notices to the email on your account.
  • Failed payments: if a charge fails, we may retry and may suspend the benefit until payment succeeds.

6. Cancellation & refunds

  • Cancel anytime: you may cancel at any time from your account settings or the Stripe customer portal, or by contacting us at hello@doughpass.com. Cancellation stops future renewals.
  • Effect of cancellation: unless required by law, cancellation takes effect at the end of your current paid billing period, and you keep access until then.
  • Refunds: membership fees are non-refundable except where required by applicable law.

7. Changes to price, benefits & the program

Your membership is a month-to-month arrangement. We may change the price, the covered item, the daily limit, participating restaurants, features, or any other aspect of the Service, and we may suspend or discontinue the Service, on a going-forward basis with reasonable advance notice to the email on your account. Changes do not apply retroactively to a billing period you have already paid for. If you do not agree to a change, your remedy is to cancel before it takes effect. Continued use after a change takes effect constitutes acceptance.

8. Participating restaurants

  • Participating restaurants are independent third-party businesses, not agents or franchisees of DoughPass. They are solely responsible for preparing and selling the food, for food quality and safety, and for allergen and ingredient information.
  • The list of participating restaurants, their hours, locations, and availability may change at any time and is not guaranteed. A restaurant may set reasonable conditions on redemption (e.g., dine-in/pickup, hours, peak-time exclusions).
  • We are not responsible for any act, omission, product, or service of a participating restaurant.

9. Taxes

Participating restaurants are the sellers of record for food and are responsible for charging, collecting, and remitting all applicable sales and other taxes on your order, including on the full menu price where required despite the DoughPass discount. You are responsible for any taxes due on your order. Any taxes applicable to the membership fee itself will be disclosed at sign-up.

10. Acceptable use & fraud

  • You may not share, sell, transfer, or duplicate your membership credential; exceed the daily limit; misrepresent your identity; or use the Service for any unlawful or fraudulent purpose.
  • We may, in our reasonable discretion, refuse a redemption, suspend, or terminate a membership for suspected fraud, abuse, or violation of these Terms, with or without notice, and without refund where permitted by law.

11. No cash value; not a gift card

The membership and its benefits have no cash value, are not redeemable for cash, are not a gift card or stored-value instrument, and cannot be exchanged, sold, or transferred. Unused benefits expire and are forfeited on cancellation or termination.

12. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted availability of the Service or of any restaurant, item, or discount. We make no warranties regarding food sold by participating restaurants.

13. Limitation of liability

To the maximum extent permitted by law, DoughPass and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of or related to the Service or food obtained through it. Our total aggregate liability for any claim will not exceed the membership fees you paid to us in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless DoughPass and its affiliates, officers, and employees from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service or violation of these Terms.

15. Dispute resolution & binding arbitration

Please read — this affects your rights.

Except for small-claims matters, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its rules, rather than in court. You and DoughPass waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing hello@doughpass.com.

16. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except where preempted by federal law (including the Federal Arbitration Act). Subject to Section 15, venue lies in the state or federal courts located in New Castle County, Delaware.

17. General

  • Entire agreement: these Terms, our Privacy Policy, and any sign-up disclosures are the entire agreement between you and us.
  • Severability: if any provision is unenforceable, the rest remains in effect.
  • Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
  • No waiver: our failure to enforce a provision is not a waiver.
